Refundable Samples Seller Terms & Conditions

Introduction

The Refundable Sample program ("Program") is offered by TikTok Shop (Thailand) Ltd., a company incorporated in Thailand with company registration number 0105566214176 ("TikTok", "we", "our", "us"). By participating in the Program, eligible sellers can offer refunds to eligible content creators for sample products purchased by such eligible content creators, subject to these Program Terms and Conditions. These Program Terms and Conditions are subject to, and incorporate by reference, the and any applicable TikTok Shop policies and guidelines as updated or amended from time to time (collectively, "Online Terms").

The Program is open to all sellers who meet the specified criteria outlined below:

We will pause the Posting Timeline by 10 days; if products become available again after 10 days, the Posting Timeline will resume. If products are still unavailable after 10 days, it is deemed the seller's fault, and refunds (due to creators) will be automatically processed.

Seller Eligibility
1. Sellers must not be high-risk sellers (as determined by TikTok at its sole and absolute discretion).
2. Sellers must not have any violations of any applicable TikTok Shop terms, policies and guidelines.
3. Sellers must not have a negative account balance in Seller Center, otherwise their refundable sample entrance will not be shown to creators.
Sample Product for Refund Flow
1. Seller determines which products will be made available to creators as products eligible for refunds, subject to the Refund Criteria below.
2. Creators can choose which products to purchase as potentially refundable samples. The Refund Criteria (defined below) must be provided to creators before purchase of the relevant product.
3. Upon purchase by creator, seller will receive the corresponding purchase amount less any TikTok Shop platform fees and subject to any/all settlement policies.
Refund Criteria Offer Flow
1. Sellers can set up a Refund Sample offer for a product by selecting the sales criteria that the creator must fulfill within 60 days of receiving the sample product (the "Posting Timeline") (collectively, the "Refund Criteria").
  1. For the sales criteria, the criteria must be set at (at least) one (1) product sale.
  2. The default sales criteria is "generating one (1) sale". Seller can modify this requirement.
2. Sellers can modify the Refund Criteria using various methods
  1. One-click pop-up banner: to set all active affiliate products with refundable samples using the default setup.
  2. Batch sample feature: to change criteria across products.
  3. Bulk edit tool: to turn on refundable samples and set criteria.
3. Sellers can edit the Refund Criteria at any time, but any pre-existing orders for refundable samples will be processed according to the Refund Criteria in effect at the time of purchase.
Refund Flow and Requirements
1. Refunds will be automatically issued from the seller's account when the Refund Criteria are met. The refund amount is the full purchasing amount actually paid by creators, including 100% of the TikTok Shop platform commission.
2. TikTok Shop will return 80% of the initial TikTok Shop platform commission on the refundable sample order.
Other Cases
1. If products become temporarily unavailable due to:
  1. being out of stock;
  2. negative reviews; and/or
  3. expired open collaboration,
2. A refund to creator will be automatically processed if products become permanently unavailable due to:
  1. permanent product listing ban by TikTok Shop due to violation of our applicable policies or guidelines;
  2. permanent shop ban by TikTok Shop due to violation of our applicable policies or guidelines;
  3. seller closing their shop on TikTok Shop; and/or
  4. seller delisting products from TikTok Shop.
Termination or Modification
1. TikTok reserves the right to terminate, modify, or suspend the Program at any time and for any reason, including, but not limited to, due to changes to TikTok Shop seller eligibility or Program structure, with or without notice.
2. The Program has no determinable termination or end date and will continue until TikTok decides to terminate it.
Compliance with Program Terms and Conditions and Online Terms
1. Sellers must adhere to the terms outlined in these Program Terms and Conditions and the Online Terms.
2. Violation of the Program Terms and Conditions and/or the Online Terms may result in forfeiture of the refund and/or seller being terminated from the Program.
