These BCD/FS Service Fee Terms and Conditions (these "Terms") shall apply in addition to the Seller Terms of Service and Product Campaign Platform Terms and Conditions, BCD and FS Terms and Conditions, and govern Seller's ("you" or "your") application for and participation in the Brands Crazy Deals (BCD)/Flash Sales (FS)Programme (the "Programme") on the TikTok Shop platform (the "Platform") provided by TikTok and/or its affiliates (collectively, "TikTok"). Your participation in the Programme is subject to your acceptance of these Terms. By participating in the Programme, you acknowledge that you have read and understood, and agree to be bound, by these Terms.
These BCD/FS Service Fee Terms and Conditions (these "Terms") shall apply in addition to the Seller Terms of Service and Product Campaign Platform Terms and Conditions, BCD and FS Terms and Conditions, and govern Seller's ("you" or "your") application for and participation in the Brands Crazy Deals (BCD)/Flash Sales (FS)Programme (the "Programme") on the TikTok Shop platform (the "Platform") provided by TikTok and/or its affiliates (collectively, "TikTok"). Your participation in the Programme is subject to your acceptance of these Terms. By participating in the Programme, you acknowledge that you have read and understood, and agree to be bound, by these Terms.
BCD/FS Service Fee Description
After an order is successfully placed via Brands Crazy Deals (BCD)/Flash Sales (FS) and delivered to customers, TikTok Shop will automatically deduct a 3.21% fee (VAT inclusive) from the final order settlement. This fee is the BCD/FS Service Fee, an amount charged to sellers in Thailand based on seller revenue of the product from an order generated with BCD/FS promotion prices.Note: BCD/FS promotions are not stackable within one product, i.e, a customer can not place one product applying both of these promotions. Therefore, sellers will not be charged both BCD Service Fee and FS Service Fee for any one single product. However, one order containing multiple products may simultaneously incur both BCD Service Fee and FS fee.Learn more about promotion stackability here.Program Effective Date
Starting from 0:00, 1st of January, 2025, Thailand time (GMT+7), TikTop Shop Thailand starts charging BCD/FS Service Fee for all product clusters.BCD/FS Service Fee calculated details.
The Service Fee is calculated from the payment received by seller for products in an order generated during the effective schedule period of BCD/FS promotion.- Shipping fee paid by customers will not be included in the calculation of the Service Fee.
- Any single product will not simultaneously incur BCD Service Fee and FS Service Fee.
Fee formula applied
BCD/FS Service Fee = Fee Rate * Seller Prices after Seller Discount effective during BCD/FS.Sellers who are subject to the BCD/FS Service Fee
- All TikTok Shop sellers on TikTok Shop in Thailand, including Local-to-Local and Crossborder, will be subject to the fee if they join BCD/FS promotion.
- Only when the product is effective in an ongoing BCD/FS schedule period will its order generated in any scenario of TikTok Shop during this period be charged.
- This takes effect from 0:00, 1st of January, 2025, Thailand time (GMT+7).
Mechanism for charging the BCD/FS Service Fee to the seller
- For orders generated from 00:00, January 1st, 2025 to 23:59, January 31st, 2025, Thailand time (GMT+7), any BCD/FS Service Fee incurred will be charged as a lump sum once on Feburary 17th, 2025.
- For orders generated from 00:00, February 1st, 2025, Thailand time (GMT+7) and onwards, the BCD/FS Service Fee charges will automatically be deducted directly from each order settlement. Only paid orders that have been successfully delivered to and accepted by the customers are considered valid. Cancelled or fully returned or refunded orders are not considered valid orders.
- For partially refunded orders by customers, the Service Fee will be refunded to sellers pro rata.
Disclaimer and Limitations of Liability
- To the fullest extent permitted by law, TikTok will not assume any responsibility or liability for (a) any inaccessibility or unavailability of the internet or the Platform, (b) any technical difficulties or equipment malfunction (whether or not under TikTok's control); (c) any theft, unauthorised access or third party interference; (d) any claim that is late, lost, altered, damaged or misdirected (whether or not after their receipt by TikTok) due to any reason beyond the reasonable control of TikTok; (d) any variation of the performance stated in these Terms; (e) any tax liability incurred by a seller; or (f) attendance at this Programme.
- TikTok, including its employees, directors, officers, agents, contractors and sponsors, to the fullest extent permitted by law, assume no liability whatsoever in relation to you (or inability to participate) in this Programme, for any direct or indirect damage, loss, or any injury suffered by Seller, or as a result of accepting and/or attendance at this Programme. Without prejudice to that general exclusion, we will not be liable for any loss of income, profits, sales or damage to reputation incurred by you.
- TikTok's total cumulative liability under or in connection with this Programme will not exceed the Service Fee to be paid by Seller as on the month of such liability arising under this Programme.
Additional Terms
- If there is any third party interference with the Campaign in any way that disrupts to proper operation of the Programme and/or makes it impossible to conduct the Programme as TikTok reasonably anticipated, TikTok reserves the right, at its discretion, to modify, suspend, terminate or cancel the Programme, as appropriate, without any liability to any users (including the Participants).
- TikTok does not encourage the performance of any acts that cause or are likely to cause injuries, or any reckless, dangerous or violent acts.
- TikTok reserves the right to take any action against any Seller (including to disqualify, stop, cease, suspend, or remove any Seller or their account) if it has reasonable grounds to believe that such Seller (whether prospective or not) of the Programme (a) have tampered with or attempted to tamper with the process or operation of the Programme; (b) have breached these Terms or any TikTok Policy; (c) have committed acts with the intent to harass another person or group; (d) have engaged in any activity not in the spirit of the Programme; (e) have made misrepresentations or engaged in any illegal, criminal or fraudulent activity in connection with the Programme; (f) have employed any agent or bot or automated process to participate for any of the Programme.
- We are not responsible for any event of force majeure (including natural disasters, activities subject to the instructions of government agencies, cyberattacks, pandemic, actions taken by governments meeting the 'force majeure' definition), system failure qualifying as 'force majeure', actions of third parties (other than our subcontractors), which results in loss, damage or disappointment suffered by you as a result of your engagement in (or inability to join) the Programme.
- TikTok's records and decisions on all matters relating to the Programme shall be final, conclusive and binding on all Sellers. We are not obliged to entertain any correspondence.
- Other than as expressly set out in these Terms or the specific Programme Page, TikTok does not make any promises or commitments about the Programme, or Platform, such as the specific function of the Programme, or its reliability, availability, or ability to meet your needs.
- If any of the terms herein are found to be illegal, invalid otherwise unenforceable, then they shall be deleted from these Terms and the remaining terms shall survive and remain in full force and effect.
- These Terms wholly incorporate and are subject to TikTok's arbitration terms in the Terms of Service.
Changes to the Terms
- TikTok reserves the right to modify these Terms at any time without prior notice and at TikTok sole discreation. Any changes will be effective immediately upon posting the revised Terms on the Programme Page. It is your responsibility to review the Terms periodically for updates.
